1. Acceptance of Terms

By accessing or using Happy Hour USA (the "Site"), you confirm that you are at least 21 years of age (the legal drinking age in the United States), that you have read and understood these Terms, and that you agree to be bound by them. If you are using the Site on behalf of a business, you represent that you have the authority to bind that business to these Terms.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Happy Hour USA regarding your use of the Site.

2. Description of Service

Happy Hour USA is a free community guide that:

• Lists bars, drink specials, and happy hour deals across the USA, launching with Michigan
• Allows users to search and filter deals by day, drink type, and bar
• Provides a live public chat for the community
• Allows registered bar owners to submit and manage their listings and specials
• Includes an AI-powered chatbot assistant
• Shows a live map of bar locations

The Site is provided free of charge as a community resource. We reserve the right to modify, suspend, or discontinue any feature at any time without notice or liability.

3. User Accounts

You may use most of the Site without creating an account. An account is required to submit deals, add bar listings, use the live chat, or access the member community.

• You must provide accurate information when creating your account.
• You are responsible for maintaining the security of your account credentials. Notify us immediately if you suspect unauthorized access.
• You may not create an account on behalf of someone else without their permission.
• One account per person. Creating multiple accounts to circumvent bans or limitations is prohibited.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. User-Generated Content

Your content, your responsibility. When you submit bar listings, drink specials, chat messages, or any other content to the Site, you represent that:

• You own or have the right to submit the content.
• The content is accurate to the best of your knowledge.
• The content does not violate any law or third-party rights.

License to us. By submitting content, you grant Happy Hour USA a non-exclusive, royalty-free, worldwide license to display, store, and distribute that content on the Site and in connection with promoting the Site. This license ends when you delete the content or your account, except for content that has been shared or cached by others.

Public content. Chat messages and deal/bar submissions are public and visible to all visitors. Do not post personal information (phone numbers, addresses, financial data) about yourself or others in public areas.

Our right to remove content. We may remove, edit, or hide any user-submitted content at any time, with or without notice, if we determine it violates these Terms or is otherwise harmful, inaccurate, or inappropriate. We are not obligated to monitor all content, but we reserve the right to do so.

5. Acceptable Use

You agree not to use the Site to:

• Post false, misleading, or defamatory content about any person or business
• Harass, threaten, bully, or intimidate other users
• Post spam, unsolicited promotions, or repetitive messages
• Impersonate any person, business, or entity
• Scrape, crawl, or harvest the Site's data without our permission
• Attempt to gain unauthorized access to our systems or another user's account
• Post content that is obscene, sexually explicit, or promotes illegal activity
• Submit fake bar listings or fabricated drink specials
• Interfere with the Site's infrastructure or impose an unreasonable load on our servers
• Violate any applicable local, state, or federal law

Violations may result in immediate removal of content, suspension or termination of your account, and, where appropriate, reporting to law enforcement.

6. Business Listings & Accuracy Disclaimer

If you are a bar owner and submit your business listing:

• You represent that you are authorized to list the business and that the information is accurate.
• You are responsible for keeping your listing and specials up to date.
• We may add or remove business listings at our discretion.
• Listing your business does not constitute an endorsement by Happy Hour USA.

7. Intellectual Property

The Site's design, layout, logo, original text, and code are owned by Happy Hour USA and protected by copyright and other intellectual property laws. You may not reproduce, distribute, or create derivative works from our proprietary content without written permission.

Business names, trademarks, and other identifying marks referenced on the Site belong to their respective owners. Listing a business on this Site does not grant any rights to those marks.

Bar and deal information that is factual in nature (a bar's name, address, hours) is not subject to copyright and may be reproduced for personal, non-commercial use.

8. AI Chatbot

The Site includes an AI-powered chatbot to help you find deals and navigate the app. Please be aware:

• The chatbot's responses are generated by an AI and may be inaccurate, incomplete, or outdated. Do not rely on AI responses for important decisions.
• Your messages to the chatbot may be transmitted to a third-party AI provider to generate responses (see our Privacy Policy).
• Do not submit sensitive personal information (financial data, passwords, etc.) to the chatbot.
• The chatbot is provided as a convenience only. We make no guarantees about its accuracy or availability.

9. Disclaimers

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY DEAL, SPECIAL, HOURS, OR BUSINESS INFORMATION DISPLAYED ON THE SITE. BAR SPECIALS ARE USER-SUBMITTED AND SUBJECT TO CHANGE WITHOUT NOTICE.

YOUR USE OF THE SITE IS ENTIRELY AT YOUR OWN RISK.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY MICHIGAN LAW, HAPPY HOUR USA, ITS OWNERS, OPERATORS, AND CONTRIBUTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Your reliance on inaccurate or outdated deal information
• Loss of business or revenue related to a listing on this Site
• Any content posted by other users, including in the live chat
• Service interruptions, data loss, or security breaches beyond our reasonable control
• Actions taken by third-party services we integrate with

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (WHICH, FOR A FREE SERVICE, IS ZERO DOLLARS).

Some states do not allow limitations on certain implied warranties or exclusions of certain damages, so some of the above may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless Happy Hour USA and its operators from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site; (b) content you submit; (c) your violation of these Terms; or (d) your violation of any third-party rights.

12. Termination

We may suspend or terminate your access to the Site at any time, for any reason, without notice — including if we believe you have violated these Terms. Upon termination, your right to use the Site ceases immediately. Sections 4 (license grant), 9, 10, 11, and 14 survive termination.

You may stop using the Site at any time. If you have an account, you can delete it from your Account settings page.

13. Changes to Terms

We may revise these Terms at any time. When we do, we will update the "Last updated" date at the top of this page. For material changes, we will post a prominent notice on the Site. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, please stop using the Site.

14. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the State of Michigan and the laws of the United States of America, without regard to conflict of law principles.

Any dispute arising under these Terms shall be resolved in the state or federal courts located in Jackson County, Michigan. You consent to the personal jurisdiction of those courts.

We hope to resolve any concerns informally first — please contact us before pursuing formal legal action.
